§ 1Status

Who you are dealing with

Vector Capital Strategies is a brand operated by BooztBrand Inc.. It is not a separate legal entity, is not separately registered, and does not contract in its own name. All services marketed under the Vector Capital Strategies name are provided by BooztBrand Inc., and any engagement you enter into is with BooztBrand Inc..

Not a securities intermediary

BooztBrand Inc. is a marketing and business development consultancy serving private real estate sponsors, syndicators, and fund managers. We are not a broker-dealer, an investment adviser, a placement agent, a finder, or a solicitor as those terms are used under the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, or any state equivalent.

We are not registered with the Securities and Exchange Commission, FINRA, the MSRB, SIPC, or any state securities regulator, and we are not required to be, because we do not engage in the activities that require registration.

Canadian registration

BooztBrand Inc. is a Canadian corporation operating from Ontario and serving clients in the United States. We are not registered in any capacity under the Securities Act (Ontario) or the securities legislation of any other Canadian jurisdiction, including as a dealer, an exempt market dealer, an adviser, an investment fund manager, or a representative of any of them.

We do not trade in securities, advise anyone on the merits of investing in a security, or hold ourselves out as being in the business of doing either, in Canada or anywhere else. Our clients' offerings are their own, made under their own exemptions, using their own documentation, to investors with whom they deal directly.

§ 2Compensation

How we are paid

We are paid fixed fees and monthly retainers for marketing services, agreed in advance and set out in a written agreement. Our fees do not vary with the amount of capital a client raises, the number of investors a client admits, or whether an offering closes.

We do not receive transaction-based compensation, commissions, success fees, carried interest, equity in client offerings, or any payment contingent on the sale of a security. We do not split fees with any broker-dealer or registered representative.

§ 3No offer

Nothing here is an offer

No content on this website, in our marketing, or in any conversation with our team is an offer to sell or a solicitation of an offer to buy any security, or a recommendation of any investment, sponsor, offering, or strategy.

We do not introduce investors to sponsors, we do not pre-screen investors for suitability, we do not negotiate terms, we do not handle investor funds or securities, and we do not participate in the closing of any offering. Where a client’s campaign produces an interested investor, that investor deals directly with the client and with the client’s own documentation.

§ 4Results

What our figures mean, and what they do not

Figures published on this website describe marketing performance: cost per qualified lead, registration and attendance rates, impressions, reach, page views, and the volume of investor conversations created. They are drawn from the advertising platforms, analytics tools, and CRM records used in the engagements named, over the periods stated.

These figures are not investment returns. They say nothing about the performance of any offering, fund, or property, and nothing about whether any investor made or lost money.

  • They reflect specific engagements under specific conditions and are not typical of all engagements.
  • They are not a guarantee, projection, prediction, or promise of future results.
  • Marketing performance varies by sponsor, asset class, market, offering terms, budget, timeline, sales execution, and platform conditions outside our control.
  • We create investor opportunities. We do not raise capital, and we do not claim credit for capital our clients raise.
§ 5Testimonials

Testimonials and client identification

Testimonials and case studies reflect the individual experience and views of the clients who provided them. They were not compensated for their statements unless expressly noted alongside the statement. A testimonial is not a guarantee that you will achieve comparable results, and we do not present any testimonial as representative of all clients.

Client names and marks appear with the permission of their owners, solely to identify engagements we have performed. Their appearance does not constitute an endorsement of any offering and does not imply affiliation beyond the marketing engagement described.

§ 6Client duties

Sponsor and issuer responsibilities

Clients who raise capital remain solely responsible for compliance with all applicable federal and state securities laws. Without limiting that responsibility, the client is responsible for:

  • Selecting the exemption relied upon and satisfying every condition of it, including the general solicitation restrictions of Rule 506(b) and the verification requirements of Rule 506(c).
  • Verifying accredited investor status where required, and retaining the evidence of that verification.
  • The accuracy, completeness, and legal sufficiency of all offering materials, including any content we assist in producing.
  • Required filings, including Form D and applicable state notice filings.
  • The conduct of any person who solicits investors on the client’s behalf.

We build marketing assets at the client’s direction and defer to the client’s securities counsel on every question of securities law. Our work is not a substitute for that counsel, and we do not review offering documents for legal sufficiency.

§ 7Forward-looking

Forward-looking statements

Statements on this website about expected outcomes, timelines, or performance are forward-looking and reflect our current expectations. They involve assumptions, risks, and uncertainties, and actual results may differ materially. We undertake no obligation to update any forward-looking statement.

Have counsel review all three legal documents before publish. Note in particular: these are drafted for a Canadian corporation serving US sponsors, which means two securities regimes apply at once. US counsel should confirm the broker-dealer and finder analysis under the Exchange Act. Canadian counsel should confirm the “business trigger” analysis under National Instrument 31-103, since marketing services delivered to issuers can attract registration scrutiny depending on how an engagement actually runs and how you are paid. Confirm the province named throughout is correct, and settle the currency and arbitration questions raised in the Terms. They are written to describe a marketing firm that stays outside broker-dealer territory, which matches how you have described the business. Counsel should confirm that description still holds against how engagements actually run, and should decide the arbitration question raised in the Terms.
